This position will support CarMax's compliance with securities reporting and disclosure obligations, corporate governance responsibilities, and SEC and NYSE compliance matters more broadly.
Essential Duties and Responsibilities:
- Support the Company's Securities and Exchange Commission and New York Stock Exchange compliance, which includes support in drafting, reviewing and revising Securities Exchange Act documents, including Forms 8-K (Current Reports), 10-Q (Quarterly Reports), 10-K (Annual Reports) and 14A (Proxy Statements).
- Prepare Section 16 filings for the Company's officers and directors.
- Assist with the management of the Company's corporate governance activities, including preparing materials for board and committee meetings and the annual meeting of shareholders, and preparing and distributing certain board communications, including annual D&O questionnaires. Research various corporate governance trends and practices and summarize the information for presentation.
- Serve as an assistant secretary to a committee of the CarMax, Inc. Board of Directors providing legal support to the committee, preparing materials for meetings, and preparing meeting minutes.
- Provide legal support to the CarMax Foundation, including serving as secretary to the CarMax Foundation board of directors and lead many compliance activities for the organization.
- Provide legal support to the Company's ESG and Corporate Social Responsibility teams, including reviewing CarMax's annual responsibility report.
- Lead special projects on an as-needed basis.
QUALIFICATIONS:

Work Location and Arrangement : This role will be based out of the Richmond, VA Home Office and have a Hybrid work arrangement
Work Authorization: Applicants must be currently authorized to work in the United States on a full-time basis.
EDUCATION and/or EXPERIENCE
Law degree.
Member in good standing with the bar of a U.S. jurisdiction.
Minimum 5 years of legal experience.
